Partner Program Terms
Last updated: October 31, 2026
These Partner Program Terms ("Partner Terms") govern your organization's participation in the Kinstodian Partner Program (the "Program"), operated by Kinstodian LLC ("Kinstodian," "we," "us"). By completing Program signup, you agree to these Partner Terms on behalf of the organization you represent. If you don't agree, don't sign up.
These Partner Terms are separate from, and in addition to, Kinstodian's Terms of Service and Privacy Policy, which govern the families who use Kinstodian itself. Where anything here conflicts with those documents as applied to a family's own use of the product, those documents control for that family's use.
1. What the Program is
The Program lets your organization issue enrollment codes to families you work with. Each redeemed code gives that family a full year of Kinstodian, free, directly from Kinstodian — not from you, and not billed to you. In exchange, your organization's name and contact details may be shown to a family who connects to you, and you receive aggregate, non-identifying information about how families you've referred are doing.
The Program does not involve Kinstodian sharing any individual family's plan, documents, or personal information with you, at any time, under any circumstance. See §6.
2. Eligibility and signup
You must be authorized to act on behalf of the organization you're signing up, and everything you provide at signup — your organization's name, its type, and the email address used — must accurately describe that organization. Signing up on behalf of an organization you're not authorized to represent, or under a name or type that misrepresents what your organization actually is, is a material breach of these Partner Terms and grounds for immediate termination.
Because sign-in uses a single magic link sent to the address you provide, we recommend using an organizational mailbox rather than a personal one, so access isn't tied to one person.
By clicking to accept, you confirm that you are authorized to agree to these Partner Terms on behalf of yourself or your entity.
If you close your account or ask us to delete your data, we keep a record that you accepted these Partner Terms (the version, the date and time, your confirmation of authority, your email address and your organization's name) for five years after your account closes, because we may need it to show what you agreed to.
3. Enrollment codes: free
Enrollment codes cost your organization nothing, for as long as you're a Program participant. This is not an introductory or trial arrangement, and Kinstodian does not currently charge, and has made no commitment to ever charge, for enrollment codes themselves.
Your organization starts with a limited number of codes ("probationary allowance"), which may be increased once your organization has been reviewed and verified under Kinstodian's partner vetting standards. Kinstodian may decline to increase your allowance, or may reduce it, at its discretion, per §4.
4. Program review, verification, and Kinstodian's discretion
Participation in the Program, and any increase to your code allowance, is subject to Kinstodian's review. Kinstodian may ask you to confirm information about your organization (such as a license, registration, or a phone call to a publicly listed number) before increasing your allowance, and may decline to do so for any organization it is unable to verify to its own satisfaction. Kinstodian reserves the right to take action regarding your organization’s Program status as follows:
- Immediate Termination for Cause: Kinstodian may terminate your account immediately and without prior notice if Kinstodian reasonably suspects or determines that your organization has engaged in fraud, attempted fraud, illegal or criminal activity, misrepresentation at signup, or any violation of §7, or where immediate action is required to protect families.
- Suspension Pending Review: Kinstodian may temporarily suspend your access, freeze code usage, or hide your organization profile while investigating suspected violations, identity changes, or unverified claims. Kinstodian will notify you of any suspension or non-immediate action as soon as reasonably practicable.
- Reinstatement: Reinstatement of a suspended account is at Kinstodian’s sole discretion. Suspension does not guarantee reinstatement, and Kinstodian is under no obligation to restore access or code allowances if an organization fails to satisfy Kinstodian’s verification or security standards. Terminated accounts are final and are not eligible for reinstatement. We may terminate your account for cause if you breach these Partner Terms, misuse enrollment codes, give us false information, or act in a way that harms families or the Program.
Termination of your Program participation does not affect any family's continued access to a plan they already redeemed a code for — that access belongs to the family, not to you, and is unaffected by anything that happens to your organization's Program status.
5. What Kinstodian shows to families, and what it doesn't
If a family enters or is given your enrollment code, or otherwise connects to your organization within the app, Kinstodian may show that family your organization's name, logo text, brand color, and the contact details (such as a phone number or address) you provide in the Partner Console. Kinstodian will not present your organization to a family on its own initiative: your organization is never inserted into a family’s plan, recommended to a family, or suggested to a family who has not connected to you. Kinstodian may offer, now or in the future, a directory or search feature that families use to look for organizations themselves; where your organization has chosen to be listed in such a feature, it may appear among the results of a search a family performs, showing only the information you publish in the Partner Console. A family finding you that way gives you no access to that family’s information — §6 governs what Kinstodian shares with you regardless of how a family finds you.
You authorize Kinstodian to format, adjust, or update any contact details, branding, or media you provide to ensure clear, accurate, and consistent display within the app. You remain responsible for ensuring that all information you submit is accurate, current, and authorized for use.
6. What Kinstodian does not share with you
Kinstodian does not give you access to any individual family's plan contents, documents, personal information, or identity, at any time, for any reason. The information available to you through the Partner Console is limited to aggregate, non-identifying figures about families who connected through your organization (for example, how many have enrolled or reached a milestone) — and Kinstodian withholds even those aggregate figures until your organization has at least a minimum number of connected families, specifically so that a small number can never be used to identify one family by elimination.
Kinstodian does not, and the Program does not provide any mechanism to, connect you directly with an individual family, message a family, or learn a family's identity, contact information, or any detail of their situation beyond what is described above.
7. How you may use your Program status
Participation in the Program is intended solely to provide Kinstodian access to families you already serve, at no cost to them or your organization. It is not a marketing or lead-generation tool, nor a license to leverage a family’s relationship with you or their vulnerable circumstances to solicit, upsell, or pressure them—whether for Kinstodian, your own services, or third-party offerings.
Specifically, you agree not to:
- Represent that a family must use, pay for, or continue using your services to receive, maintain, or keep a Kinstodian code or account.
- Initiate contact with, target, or solicit any family using information gained through their connection to your organization within Kinstodian, or use Program data for outreach outside the normal scope of your existing service relationship.
- Imply or state that Kinstodian endorses, audits, approves, or vouches for your organization or any separate services or advice you provide.
Any violation of this section constitutes cause for immediate suspension or termination under §4 without prior notice. Kinstodian investigates all reported or suspected violations—including reports from families—and reserves the right to take immediate action under §4 regardless of the report's source.
8. Independent contractors; your own representations
Independent Contractors: You and Kinstodian are independent contractors. Nothing in these Partner Terms or in the use of the term "Partner" or "Partner Program" creates, implies, or establishes a partnership, joint venture, agency, franchise, fiduciary relationship, or employment relationship between you and Kinstodian. Neither party has the authority to bind, commit, or incur obligations on behalf of the other.
Your Representations: Kinstodian is not a party to, and takes no responsibility for, any representation, advice, care, or service your organization provides to a family—whether or not related to Kinstodian. You are solely responsible for your own conduct, licensing, operations, and compliance with all laws applicable to your organization.
9. Intellectual property and use of the Kinstodian name
Kinstodian grants you a limited, non-exclusive, non-transferable license to reference "Kinstodian" and use Kinstodian-provided materials solely to describe your participation in the Program to families and prospective families, for as long as you participate in the Program. You may not imply a partnership, joint venture, endorsement, or affiliation beyond what these Partner Terms describe, and this license ends immediately if your Program participation ends. All other rights in the Kinstodian name, marks, and product remain Kinstodian's.
10. Term and termination
Termination by You: You may stop participating in the Program at any time by written notice to partners@kinstodian.com. There is no minimum term and no fee or penalty for leaving. See §4 for Kinstodian’s termination rights.
Effect of Termination: Upon termination of your participation for any reason (whether by you or Kinstodian):
- Code Revocation: All unused or unredeemed enrollment codes issued to your organization are immediately revoked and rendered void.
- Cessation of Representation: You must immediately cease representing your organization as a Kinstodian Partner or Program participant, and remove all Kinstodian branding, logos, badges, and marketing references from your website, physical locations, and communications.
- No Refund or Compensation: Program participation is provided without monetary fees; Kinstodian has no financial or refund obligation, liability, or payout requirement to your organization upon termination.
When your participation ends, we delete your organization's account, sign-in addresses, codes and listings. Families who already redeemed a code keep their plan, although we may be unable to look up that code afterwards. We keep a record that you accepted these terms for five years, as described in the Privacy Policy.
If we terminate your account for cause, we keep your organization's name and your administrators' email addresses on a suppression list for up to five years after the termination, so that we can prevent fraudulent re-enrollment, protect the Program and enforce these Partner Terms. Closing your account for any other reason, such as at your request, at the end of our partnership, or because you did not accept a changed version within 60 days, does not put you on that list.
Sections 6, 7 (How you may use your Program status), 8, 9 (as to use prior to termination), 11, 12, 13, 15 (Confidentiality), 16 (Severability), 17 (No Waiver), and 18 (Assignment) survive any termination of these Partner Terms.
11. Disclaimers and limitation of liability
"AS IS" Disclaimer: THE PROGRAM AND ALL RELATED SERVICES AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KINSTODIAN DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Aggregate Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KINSTODIAN’S TOTAL AGGREGATE LIABILITY TO YOUR ORGANIZATION ARISING OUT OF OR RELATING TO THE PROGRAM, THE PARTNER CONSOLE, OR THESE PARTNER TERMS—WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE—SHALL NOT EXCEED ONE THOUSAND U.S. DOLLARS ($1,000 USD).
Exceptions to Limitation: NOTHING IN THESE PARTNER TERMS SHALL LIMIT OR EXCLUDE EITHER PARTY’S LIABILITY FOR: (A) FRAUD OR FRAUDULENT MISREPRESENTATION; (B) WILLFUL MISCONDUCT OR GROSS NEGLIGENCE; OR (C) ANY OTHER LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
12. Indemnification
Scope of Indemnity: You agree to defend, indemnify, and hold harmless Kinstodian, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your organization’s representations, advice, care, services, or conduct toward any family;
- Any breach of these Partner Terms (including §7) by your organization or its representatives; or
- Your organization’s violation of any applicable law, rule, or regulation.
Exclusion for Kinstodian’s Own Fault: Your indemnity obligations under this section will not apply to the extent that a third-party claim is caused directly by Kinstodian’s own gross negligence, willful misconduct, or intentional breach of these Partner Terms.
Indemnification Procedures & Defense:
- Notice: You must provide Kinstodian with prompt written notice of any claim or demand subject to indemnification under this section. Failure to give prompt notice will not relieve you of your obligations except to the extent your defense is materially prejudiced by the delay.
- Selection of Counsel: Kinstodian reserves the right, at your expense, to select its own legal counsel and assume the exclusive defense and control of any matter for which you are required to indemnify Kinstodian. Alternatively, Kinstodian may permit you to handle the defense, subject to Kinstodian’s right to approve counsel and participate at its own expense.
- Settlement: You may not settle, compromise, or consent to the entry of any judgment regarding any indemnified claim without Kinstodian’s prior written consent, unless such settlement fully releases Kinstodian without imposing any monetary or non-monetary obligation or admission of liability on Kinstodian.
13. Governing law and dispute resolution
Governing Law: These Partner Terms and any dispute, claim, or controversy arising out of or relating to these Partner Terms, the Program, or your organization's relationship with Kinstodian shall be governed by and construed in accordance with the laws of the State of Kansas, without giving effect to any principles of conflicts of law that would require the application of the laws of another jurisdiction.
Jurisdiction and Venue: You agree that any legal action, suit, or proceeding arising out of or relating to these Partner Terms or the Program shall be brought exclusively in the state courts located in Johnson County, Kansas, or the United States District Court for the District of Kansas. You hereby irrevocably consent and submit to the personal jurisdiction and venue of such courts sitting in the Kansas City Division.
Waiver of Jury Trial: TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY HEREBY IRREVOCABLY WAIVES ITS RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATED TO THESE PARTNER TERMS OR THE PROGRAM.
Class Action Waiver: YOU AND KINSTODIAN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
14. Changes to these Partner Terms
Updates & Notice: Kinstodian may modify or update these Partner Terms from time to time. We will post the revised terms on the Partner Console or website and update the "Last Updated" date at the top of these Partner Terms. If we change these Partner Terms, we will email the primary contact on your account at least 30 days before the change takes effect and ask you to accept the new version the next time you sign in. Until you do, your account is read-only.
Right to Cancel & Acceptance: If you do not agree to a change, your only remedy is to stop participating in the Program. If you have not accepted a new version within 60 days after it takes effect, we may close your account.
15. Confidentiality
Each party agrees that all non-public information, business practices, family data, technical details, and software functionality disclosed by one party (“Disclosing Party”) to the other (“Receiving Party”) under these Partner Terms constitute confidential information. The Receiving Party agrees to: (a) protect such confidential information with the same degree of care it uses to protect its own confidential information (but not less than reasonable care); (b) use confidential information solely to perform its obligations or exercise its rights under these Partner Terms; and (c) not disclose confidential information to any third party, except to its employees, advisors, or contractors who need to know and are bound by confidentiality obligations at least as restrictive as these. Confidentiality obligations do not apply to information that becomes public through no fault of the Receiving Party, was already known prior to disclosure, or is required to be disclosed by law or court order.
16. Severability
If any provision of these Partner Terms is found by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible. The invalidity or unenforceability of any single provision shall not affect the validity, legality, or enforceability of the remaining provisions of these Partner Terms, which will remain in full force and effect.
17. No Waiver
No failure or delay by Kinstodian in exercising any right, power, or remedy under these Partner Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right or remedy shall preclude any other or further exercise of it or the exercise of any other right or remedy. Any waiver by Kinstodian must be in writing and signed by an authorized representative to be legally effective.
18. Assignment
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Partner Terms, by operation of law or otherwise, without Kinstodian’s prior written consent. Any attempted assignment or transfer in violation of this section is null and void. Kinstodian may freely assign, transfer, or delegate these Partner Terms and its rights or obligations hereunder without restriction or consent, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.
19. Force Majeure (Act of God)
Neither party shall be liable or responsible to the other, nor be deemed to have defaulted or breached these Partner Terms, for any failure or delay in fulfilling or performing any obligation (except for any accrued payment obligations, if applicable) when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the impacted party’s reasonable control. Such acts include, without limitation: acts of God, flood, fire, earthquake, explosion, war, invasion, terrorist threats or acts, riot or civil unrest, national emergencies, epidemics, pandemics, government orders or laws, broad Internet or cloud infrastructure outages, or severe cyberattacks.
